Surgical Science has completed a directed share issue of SEK 2.7 billion

Surgical Science Sweden AB (publ) (“Surgical Science” or the “Company”) has, conditional on approval from an Extraordinary General Meeting expected to be held on or about 16 August 2021, and in accordance with what the Company announced in a press release on 28 July 2021, successfully carried out a directed share issue of approximately SEK 2.7 billion at a subscription price of SEK 210.00 per share (the “Directed Share Issue”). The subscription price was determined through an accelerated book-building procedure. A number of Swedish and international institutional investors, including DNCA Investments, Fjärde AP-fonden, Handelsbanken Fonder, Joh. Berenberg, Gossler & Co. KG, Montanaro Asset Management and TIN Fonder have subscribed for shares in the Directed Share Issue. Net proceeds from the Directed Share Issue will primarily be used to finance the acquisition of Simbionix USA Corp. (“Simbionix” and the “Acquisition”) as announced by the Company on 28 July 2021. In connection with the Acquisition, a number of key employees at Simbionix have acquired shares corresponding to approximately SEK 21.6 million from Surgical Science's two largest owners, Marknadspotential AB and Semelin Kapitalförvaltning AB, at the same subscription price as in the Directed Share Issue.
The board of directors of the Company have, subject to approval by an Extraordinary General Meeting expected to be held on or about 16 August 2021, resolved on the Directed Share Issue of 12,857,000 new shares at a subscription price of SEK 210.00 per share. The subscription price corresponds to a discount of approximately 5.6 percent in relation to the closing price on Nasdaq First North Growth Market on 28 July 2021 and a premium of approximately 4.1 percent to the 10-day volume weighted share price of the Company's share as traded on Nasdaq First North Growth Market. Through the Directed Share Issue, the Company will receive proceeds of approximately SEK 2.7 billion before transaction related costs. The purpose of the Directed Share Issue and the reason for the deviation from the shareholders’ pre-emptive rights is to be able to carry out a capital raise in a timely and cost-effective manner in order to finance the Acquisition of Simbionix, whilst also further diversifying and strengthening the Company’s shareholder base. The board of directors’ assessment is that the subscription price in the Directed Share Issue is in accordance with market conditions, since it has been determined through an accelerated book-building procedure.

The Directed Share Issue will entail a dilution of approximately 25.3 percent based on the number of shares and votes in the Company after the Directed Share Issue. The number of shares and votes outstanding in the Company will increase by 12,857,000 from 37,944,236 to 50,801,236. The share capital will increase by approximately SEK 642,850 from approximately SEK 1,897,212 to approximately SEK 2,540,062.
In connection with the Acquisition, a number of key employees at Simbionix have acquired 103,018 shares from Surgical Science's two largest owners, Marknadspotential AB and Semelin Kapitalförvaltning AB at a subscription price of SEK 210.00 per share (corresponding to the subscription price in the Directed Share Issue).
Existing shareholders, including the Company’s principal owners Marknadspotential AB, Semelin Kapitalförvaltning AB, Landsnora Software AB, Handelsbanken Fonder, Swedbank Robur Fonder and TIN Fonder, together holding approximately 70 percent of the shares and votes in the Company, have undertaken to vote in favor of the board of directors’ resolution to issue new shares at the Extraordinary General Meeting. Notice to the Extraordinary General Meeting, including the board of directors’ complete proposal regarding the Directed Share Issue, will be announced shortly after the publishing of this press release.
In connection with the Directed Share Issue, the Company has, subject to customary exceptions, agreed to not carry out any additional share issuances for a period of 360 days following completion of the Directed Share Issue. Members of the Company’s board of directors, management and the existing shareholders Marknadspotential AB, Semelin Kapitalförvaltning AB and Landsnora Software AB have, subject to customary exceptions, agreed to not sell shares in the Company for a period of 180 days following completion of the Directed Share Issue.
